SPECIAL MEETING MINUTES

NBFD Fire Station – 444 E. Chubbuck Road

August 29, 2022 @ 5:30pm

  1. OPEN MEETING - The meeting was opened by Commissioner Shell at 5:31pm.

  1. ROLL CALL - Commissioners Shell, Curtis, and Johnson as well as Chief Brood and Secretary Ramirez attended the meeting.

  1. DISCUSSION & ACTION ITEMS

    1. Approval of agenda - Commissioner Curtis made a motion and was seconded by Commissioner Johnson to approve the agenda. The motion passed unanimously.

    2. Discussion of building the new station

      1. Commissioner Shell has spoken with the sellers of the property regarding what options there were to keep the sale of the land going after the sellers expressed concerns of how the sale would affect their ability to build additional buildings on the property.

      2. One option was presented in that the District would buy the entire property outright and pay off the mortgage the sellers have. The District would then rent/sell the property back to the sellers less the 1.2 acre parcel the District is interested in.

      3. The District would be in charge of annexing and/or subdividing the land. The District would be responsible for all of the annexing, subdivision, and closing fees.

      4. The sellers discussed that option over the weekend and then told Commissioner Shell that they would be interested.

      5. We need to contact the attorney to discuss what the next step would be and to begin to make changes to the current purchase agreement. Commissioner Shell will call Bill Gigray tomorrow.

      6. Purchase agreement would need to become a sales and a lease to own agreement. It would still need to state that the sellers must still clean up the property of their personal items and old equipment. The agreement should also spell out that the sellers are responsible for all of the building and land maintenance for the parcel that includes their home. It should also include that they would have the right to build additional structures on their parcel. Lastly, the agreement should require that the sellers have renter’s insurance with the District as additional interest and with liability at a minimum of $300,000.

      7. Are we going to or need to do an appraisal and property inspection? We should have at least a DEQ inspection and an inspection that includes the septic system for the property as well as a basic inspection of the home.

      8. What are we going to do if there is a question of whether the seller has equity in the property? Do you pay them cash?

      9. The main thing we need to know is how much the sellers owe on their loan. Then we can set things up with the attorney and start the process.

      10. Commissioner Curtis made a motion and was seconded by Commissioner Johnson to pay off the balance of the seller's mortgage on their property on Anderson Lane up to a value of $400,000. The District would then become the mortgage holder on said property. The purchase will be dependent on a property appraisal, a satisfactory property inspection and a DEQ inspection of the property. The motion passed unanimously.

  1. PUBLIC COMMENT - No one from the public attended the meeting.

  1. ADJOURNMENT - Commissioner Curtis made a motion and was seconded by Commissioner Johnson to adjourn the meeting. The motion passed unanimously and the meeting closed at 6:26pm.
